These Terms of Service ("Terms") govern your access to and use of detectlead.com (the "Site") and any products, services, content, or materials offered or made available through the Site (collectively, the "Services"), all of which are operated by Fluoro-Spec Inc., a Delaware corporation with its principal place of business at 9 Technology Drive, East Setauket, New York 11733 ("Company", "we", "us", or "our"). By accessing the Site, creating an account, or placing an order, you ("you", "your", or "Customer") agree to be bound by these Terms and our Privacy Policy, Refund Policy, and Shipping Policy, each of which is incorporated by reference. If you do not agree to these Terms, you may not access or use the Services.
You represent and warrant that you are at least eighteen (18) years of age, have the legal capacity to enter into a binding contract, and are not barred from receiving the Services under the laws of the United States or any other applicable jurisdiction. If you are accessing the Services on behalf of another person or entity, you represent that you are authorized to bind that person or entity to these Terms.
You may be required to create an account to access certain features of the Services. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are solely responsible for all activity that occurs under your account, and you agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate any account at our sole discretion.
The Site offers consumer-grade lead detection kits, reagents, and related accessories (collectively, "Products"). All Products sold through the Services are intended for residential, personal, and household use only.
The Products, including without limitation the FS Fluid reagent, are manufactured and distributed pursuant to a U.S. Environmental Protection Agency Toxic Substances Control Act Low Volume Exemption, identified as TSCA LVE No. L-25-0206. Consistent with the conditions of that exemption, the Products are not authorized for commercial, industrial, occupational, professional, institutional, research, or laboratory use. You agree to use the Products solely in accordance with the included instructions, the conditions of TSCA LVE No. L-25-0206, and all applicable federal, state, and local laws and regulations.
You acknowledge that the Products are testing aids and are not intended to diagnose, treat, cure, or prevent any medical condition. Test results are indicative and should not be used as a substitute for accredited laboratory analysis or professional remediation services. We make no representation that the Products will detect every form of lead or every concentration of lead in every material.
All orders placed through the Services are offers to purchase Products subject to acceptance by us. We reserve the right to refuse, cancel, or limit any order at our sole discretion, including without limitation orders that we believe violate these Terms, are placed by Restricted Parties (as defined below), or appear to be for resale. Prices are listed in U.S. dollars and are subject to change without notice. Applicable taxes, shipping fees, and other charges will be displayed at checkout. Payment is due in full at the time of order. We use third-party payment processors and do not store full payment card information on our servers.
Shipping terms are set forth in our Shipping Policy, available at /policies/shipping-policy. Title and risk of loss for Products pass to you upon tender to the carrier.
Refund and return terms are set forth in our Refund Policy, available at /policies/refund-policy.
The Site, the Services, the Products, and all content, materials, designs, formulations, instructions, packaging, trademarks, logos, trade dress, copy, photographs, videos, software, algorithms, processes, and know-how associated with any of the foregoing (collectively, the "Company IP") are the exclusive property of Fluoro-Spec Inc. and its licensors, and are protected by U.S. and international copyright, trademark, trade secret, patent, and other intellectual property laws. Nothing in these Terms grants you any license, right, title, or interest in the Company IP except the limited, non-exclusive, non-transferable, revocable right to use the Products for personal household purposes as expressly permitted by these Terms.
You agree that you will not, and will not permit any third party to: (a) copy, reproduce, modify, translate, adapt, or create derivative works of any Company IP; (b) reverse engineer, decompile, disassemble, decompose, chemically analyze, spectroscopically analyze, deformulate, or otherwise attempt to derive, extract, or determine the source code, formulation, composition, ingredients, concentrations, manufacturing process, synthesis route, or any other underlying structure or know-how of any Product, reagent, packaging, or instructional material; (c) use any Company IP to develop, manufacture, market, or sell any competing or substantially similar product or service; (d) remove, obscure, or alter any proprietary notices, labels, or markings on any Product or material; or (e) file or assert any patent, trademark, copyright, or other intellectual property claim with respect to any Company IP or any modification or derivative thereof. The restrictions in this Section apply regardless of whether the underlying information has been previously disclosed publicly. The covenants in this Section survive termination of these Terms indefinitely.
In addition to any other restrictions in these Terms, you agree that you will not, and will not permit any third party acting on your behalf or with Products purchased through the Services, to: (a) use the Products in any manner not expressly permitted by Section 3; (b) use the Site or the Services for any unlawful, fraudulent, deceptive, harmful, or abusive purpose; (c) interfere with or disrupt the Services or any servers or networks connected to the Services; (d) attempt to gain unauthorized access to any portion of the Services or any related accounts, systems, or networks; (e) use any data mining, robots, scrapers, or similar data gathering and extraction tools on the Site; (f) impersonate any person or entity or misrepresent your affiliation with any person or entity; (g) export, re-export, or transfer any Product or Company IP in violation of U.S. export control laws or the laws of any other applicable jurisdiction; (h) resell, sublicense, redistribute, lease, rent, transfer, gift, donate, or otherwise convey any Product to any third party without our prior written consent; or (i) sell, transfer, ship, deliver, supply, license, sublicense, or otherwise make available, directly or indirectly, any Product, Company IP, or related material to any of the following Restricted Parties or to any subsidiary, affiliate, parent, agent, contractor, employee, officer, director, successor, or assign of any Restricted Party, including without limitation: Lumetallix B.V., Lumetallix Holding B.V., any party listed on the U.S. Treasury OFAC Specially Designated Nationals list, any party listed on the U.S. Department of Commerce Entity List or Denied Persons List, any party subject to U.S., U.K., E.U., or U.N. sanctions, and any party that you know or have reason to know is involved in the development, manufacture, marketing, sale, or distribution of any product that competes with the Products (collectively, "Restricted Parties"). You represent and warrant that you are not, and are not acting on behalf of, any Restricted Party, and that the Products you order will not be transferred, directly or indirectly, to any Restricted Party. Any sale, transfer, or attempted transfer in violation of this Section is void and constitutes a material breach of these Terms entitling us to all remedies available at law or in equity.
EXCEPT AS EXPRESSLY SET FORTH IN OUR REFUND POLICY, THE SITE, THE SERVICES, AND THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND TITLE, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES OR PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO INFORMATION OBTAINED FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLUORO-SPEC INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, THE SERVICES, OR THE PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, THE SERVICES, OR THE PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THE LIMITATIONS IN THIS SECTION APPLY TO ALL CAUSES OF ACTION, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
You agree to defend, indemnify, and hold harmless Fluoro-Spec Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Site, the Services, or the Products; (b) your breach of these Terms; (c) your violation of any applicable law or any rights of any third party; or (d) any transfer of a Product to a Restricted Party in violation of Section 8.
We may suspend or terminate your access to the Services, and refuse any current or future use of the Services, at our sole discretion, with or without notice, for any reason, including without limitation any breach of these Terms. Sections 3, 6, 7, 8, 9, 10, 11, 13, 14, 15, and any other provision that by its nature should survive termination, shall survive termination of these Terms.
These Terms and any dispute arising out of or relating to these Terms or your use of the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Subject to Section 14, the state and federal courts located in Suffolk County, New York shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you hereby consent to the personal jurisdiction and venue of such courts.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be addressed by good-faith informal negotiation between the parties for a period of at least thirty (30) days. If the dispute is not resolved through informal negotiation, the parties may pursue resolution in the courts identified in Section 13. You and Fluoro-Spec Inc. each waive the right to a trial by jury and the right to participate in any class action or class-wide arbitration to the maximum extent permitted by applicable law.
We reserve the right to modify these Terms at any time. Modifications will be effective upon posting of the revised Terms to the Site, with the "Last Updated" date revised accordingly. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
These Terms, together with the Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Fluoro-Spec Inc. with respect to the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent; any attempted assignment in violation of this Section is void. We may freely assign these Terms.
